1. About us
GWIAC Nominee Services (the “Provider”, “we”, “us”) supplies nominee director and nominee shareholder appointment services to clients (the “Client”). Our registered correspondence details: Fern Hill Business Centre, Todd St, Fernhill, Bury BL9 5BJ. Contact: nomineeservices@gwiac.co.uk.
2. Definitions
- Nominee: an individual appointed as a director/shareholder for representational purposes under limited authority.
- Beneficial Owner (BO): the individual(s) who ultimately own/control the company.
- TCSP: Trust or Company Service Provider as defined by the UK Money Laundering Regulations.
3. Scope of services
- We provide representational appointments only. The Nominee does not manage day‑to‑day operations or make commercial decisions.
- Authority is limited strictly to what is set out in the written Nominee Agreement and any specific written instructions we accept.
- We may assist with basic filings (e.g., Companies House appointments/resignations) and KYC/verification letters where compliant.
- We do not provide registered office or trading addresses unless expressly contracted; any address services are separate.
4. Client obligations
- Provide true, complete and up‑to‑date information, including full disclosure of the Beneficial Owner(s).
- Trade lawfully and transparently. No use of false addresses, impersonation, or concealment of beneficial ownership with any bank or platform (e.g., Amazon, PayPal, Stripe).
- Refrain from asking any Nominee to sign personal guarantees, take loans, or accept financial liability.
- Notify us promptly of any change in ownership, business activity, or risk profile.
5. AML/KYC and screening
- We operate under HMRC MLR/TCSP rules. We will conduct CDD/EDD, sanctions screening, PEP and adverse‑media checks as appropriate.
- We may request documents and data and use electronic verification providers to fulfil our legal obligations.
- Services may be paused or declined where information is incomplete, inconsistent or raises unacceptable risk.
6. Fees, billing and refunds
- Fees are specified in our written quotation or engagement and are payable in advance unless stated otherwise.
- Government and third‑party filing fees are payable by the Client in addition to our service fees.
- Refunds are not available once screening or appointment actions have commenced, except where required by law.
7. No personal guarantees or credit
Nominees will not enter into personal guarantees, loans, credit, or security instruments. Any attempt to bind a Nominee personally is void and may result in immediate termination.
8. Indemnity and limitation of liability
- The Client shall indemnify and hold harmless the Provider and Nominee against losses arising from the Client’s breach of law, fraud, non‑disclosure, or misuse of the services.
- We exclude liability for indirect or consequential loss. Our total liability in contract, tort or otherwise is limited to the amount paid for the relevant 12‑month period, to the extent permitted by law.
9. Confidentiality and data protection
- We keep Client information confidential except where disclosure is required by law or regulators.
- Personal data is processed in accordance with our Privacy Policy. AML obligations may require retention beyond contract end.
10. Communications and e‑signatures
We may use electronic signature platforms and email for instructions and approvals. Electronic signatures are deemed equivalent to wet signatures where permitted by law.
11. Term, resignation and termination
- Appointments are annual unless otherwise stated. Either party may terminate for material breach.
- The Nominee may resign immediately where information is withheld, non‑compliance arises, or risk becomes unacceptable.
- On termination the Client must promptly remove the Nominee from all platforms, bank mandates, and filings, and settle all outstanding fees.
12. Non‑solicitation
The Client shall not circumvent the Provider to engage Nominees directly for competing services during the engagement and for 12 months thereafter.
13. Anti‑bribery, sanctions and illegal activities
The Client warrants compliance with applicable anti‑bribery, anti‑corruption and sanctions laws and will not use the services for unlawful purposes.
14. Changes to these Terms
We may update these Terms from time to time. The version in force at the point of order or renewal will apply unless otherwise agreed.
15. Complaints
If you have a concern, please contact nomineeservices@gwiac.co.uk. We will acknowledge and aim to resolve your complaint promptly.
16. Governing law and jurisdiction
These Terms are governed by the laws of England and Wales and the courts of England and Wales shall have exclusive jurisdiction.
17. Severability
If any provision is held invalid or unenforceable, the remainder shall continue in full force and effect.
18. Entire agreement
These Terms, together with our engagement/quotation and the Nominee Agreement, constitute the entire agreement between the parties and supersede prior discussions.
